Payment in advance is to be paid when the dresses are ready for delivery to the customer.

JAMALINI Terms and Conditions

1. How to Order
1.1 Orders are accepted by post, telephone, facsimile, e-mail or by personal callers. Our office is open as set out below: Monday to Friday 9am to 5pm, (excluding Slovenian holidays), Saturday 11am to 3pm.
2. Basis of Purchase
2.1 Once the goods are ordered this will constitute an offer to purchase the goods subject to the terms and conditions hereinafter appearing.
2.2 These conditions shall apply to the purchase of goods to the exclusion of any other terms and conditions.
2.3 No variation to the order or these conditions shall be binding unless agreed in writing and subject to clause 4.
3. Orders and Specifications
3.1 Any specifications supplied by you or any designs specifically produced by JAMALINI Limited ("JAMALINI") in connection with the purchase of goods together with the copyright, design right or any other intellectual property rights, should be exclusive property of JAMALINI.
3.2 JAMALINI shall not be liable in respect of any alleged defect in the goods as a result of any specification made by you against the advice of JAMALINI.
4. Prices
4.1 When you have ordered the goods JAMALINI will start to prepare your order. Once this has commenced the order cannot be canceled in any way.
4.2 Payment to JAMALINI is required in advance of delivery unless specific arrangements are agreed in writing, in which case JAMALINI shall be entitled to invoice for the goods upon despatch or deemed delivery in accordance with Clause 5. Payment must be made within 30 days of that date. In the event that payment is not made on the due date JAMALINI reserve the right to:
4.2.1 Withhold delivery of any further goods;
4.2.2 Require advance payment on all goods;
4.2.3 Charge interest (both before and after judgement) on the amount unpaid at the rate of 3% above the base lending rate of the Nova Ljubljanska Banka d.d. from time to time.
5. Delivery
5.1 Delivery of the goods shall be made by JAMALINI posting the goods to you.
5.2 Any dates quoted for delivery of the goods are approximate only and JAMALINI shall not be liable for any delay in delivery however caused. Time for delivery shall not be of essence unless previously agreed by JAMALINI in writing.
6. Risk and Property
6.1 The risk in respect of the goods sold will pass to you upon Delivery. Carriers require that all claims be notified in writing within 7 days of receipt of goods and that non-delivery be notified within 14 days of the date of despatch, 21 days for overseas. Claims notified after this period will not be recognized.
6.2 Notwithstanding delivery and passing of risk in the goods or any other provision of these conditions the property in the goods shall not pass to you until JAMALINI has received in cash or cleared funds payment in full of the price of the goods and all other goods to be sold by JAMALINI to you for which payment is then due.
6.3 Until such time as the property in the goods passes to you (and provided the goods are still in existence and have not been resold) JAMALINI shall be entitled at any time to require you to deliver up the goods to them and if you fail to do so forthwith to enter upon any premises of yours or any other third party where the goods are stored and repossess the goods.
7. Warranties and Liabilities
7.1 Subject to the conditions set out below JAMALINI warrants that the goods will correspond with their description in JAMALINI's designs.
7.2 The above warranty is given by JAMALINI subject to the following conditions:
7.2.1 JAMALINI shall be under no liability in respect of any defect arising from fair wear and tear, willful damage, negligence, abnormal working conditions, failure to follow JAMALINI's instructions (whether oral or in writing), misuse or alteration or repair of the goods without JAMALINI's approval.
7.2.2 JAMALINI shall be under no liability under the above warranty (or any other warranty, condition or guarantee) if the total price for the goods has not been paid by the due date for payment.
7.2.3 JAMALINI shall be under no liability as to the quality of the goods beyond the occasion of their first use.
7.2.4 Subject as expressly provided in these conditions and except where the goods are sold to a person dealing as a consumer within the meaning of the Unfair Contract Terms Act 1977, all warranties, conditions or other terms implied by statue or common law are excluded to the fullest extent permitted by law.
7.2.5 No warranty is given by JAMALINI in respect of fitness for the purpose intended by you. It is your responsibility to ensure that the goods are suitable for your own purpose.
7.2.6 Where the goods are sold under a consumer transaction as defined by the Consumer Transactions (Restrictions on Statements) Order 1976 your statutory rights are not affected by these conditions.
7.2.7 Any claim by you which is based on a defect in quality or condition of the goods or their failure to correspond with specification shall be notified to JAMALINI within 30 days of the purchase or posting whichever is the later. In the event that a fault is accepted by JAMALINI the goods will be replaced free of charge by return post subject to availability provided the goods have been returned reasonably packed within 30 days.
8. General
8.1 Any notice required permitted by either party to the other under these conditions shall be in writing addressed to the other party at its registered office or principal place of business or such other address as may at the relevant time have been notified pursuant to the provisions for the party giving the notice.
8.2 No waiver by JAMALINI of any breach of the contract by you shall be considered as a waiver of any subsequent breach of the same or any other provision
8.3 This contract will be governed by the laws of Slovenia and any dispute will be settled in the courts in Slovenia.
